Terms of Service

These Terms of Service (“ToS”) govern the provision of the Zenask service, published by Pierre Lissope, sole proprietor (auto-entrepreneur), SIRET 924 067 333 00022, 12 chemin de la Cavignon, 91100 Corbeil-Essonnes, France (“Zenask”, “we”).

By creating an account and subscribing, you accept these ToS without reservation.

1. Service for professionals only

Zenask is a service exclusively reserved for professionals (any natural or legal person acting in the course of a commercial, craft, liberal, agricultural or independent activity, including auto-entrepreneurs).

By subscribing to Zenask, you declare and warrant that you are acting for purposes within the scope of your professional activity. You expressly acknowledge that the consumer protection provisions of the French Consumer Code (notably the right of withdrawal under Article L221-18) do not apply to you, in accordance with Article L221-3 of the French Consumer Code.

2. Description of the service

Zenask provides a SaaS (Software as a Service) software allowing content creators, coaches, infopreneurs and consultants to automate the qualification of their prospects and the management of their Instagram direct messages through a conversational agent powered by artificial intelligence.

The functional details of the service are described on zenask.ai and may evolve at any time.

3. Registration and account

Access to the service requires creating an account via email and password. You are responsible for the confidentiality of your credentials and for any activity carried out from your account. You agree to provide accurate information and to keep it up to date.

Zenask reserves the right to suspend or delete any account in case of violation of these ToS, fraudulent use, or non-payment.

4. Pricing and payment

Pricing in effect is indicated on the subscription page at the time of purchase. Prices are stated excluding tax (HT).

Pursuant to Article 293 B of the French General Tax Code, VAT not applicable — Zenask benefits from the VAT exemption regime as an auto-entrepreneur.

Payments are processed by Stripe, a PCI-DSS certified payment provider. You authorize Zenask to charge the amount of your subscription at each due date on the registered payment method.

Any late or missed payment results in the automatic suspension of access to the service, without further notice.

5. Satisfaction guarantee

Access to the service is conditional on a preliminary call with the Zenask team and on payment of the first installment. If, after using the service in good faith, you find that it does not meet your needs, you may request a refund of your first installment, pro rata to the services actually consumed, by writing to admin@zenask.ai within a reasonable timeframe.

This guarantee is a commercial accommodation granted by Zenask and does not constitute a right of withdrawal within the meaning of the French Consumer Code, which does not apply to contracts between professionals (Art. L221-3).

6. Duration and termination

The subscription is entered into for an indefinite period, by successive billing cycles (monthly or yearly depending on the chosen plan). It renews automatically at each due date.

You may terminate your subscription at any time from your dashboard. Termination takes effect at the end of the current billing period — no further billing will occur, and no pro-rata refund is due for the period already begun.

Zenask may terminate your subscription with 30 days’ notice in case of service discontinuation, or immediately in case of serious breach of your obligations (non-payment, fraud, abusive use).

7. User obligations and responsibilities

You agree to:

  • Use the service in compliance with applicable laws and the terms of the third-party platforms you connect (in particular Meta’s Platform Terms for the Instagram integration);
  • Configure your AI agent so that it answers honestly when a follower explicitly asks whether they are interacting with an artificial intelligence — Zenask provides the necessary tools (system instructions, introduction message) for you to comply with this transparency obligation set forth in Meta’s Platform Terms;
  • Not use Zenask to send spam, unsolicited messages, or to perform automated mass cold outreach (initial messages to users who have not contacted you) — Zenask is designed to respond to incoming messages, not to initiate them at scale;
  • Obtain all necessary consents from your own users / prospects before using their data within Zenask;
  • Not attempt to hack, reverse-engineer or disrupt the operation of the service.

Zenask reserves the right to immediately suspend or terminate any account whose use jeopardizes our integration with Meta (e.g. abusive use detected by Meta, repeated complaints from Instagram users, breach of the Platform Terms).

You are solely responsible for the content you generate and distribute through Zenask, as well as for the conversations the AI agent holds on your behalf with your prospects. Zenask cannot be held liable for the commercial or legal consequences of your use of the service.

8. Zenask’s obligations

Zenask undertakes to provide the service with reasonable diligence, under a best-effort obligation and not an obligation of result. Zenask does not guarantee a specific uptime rate but will use reasonable efforts to keep the service available.

Temporary interruptions may occur for maintenance, updates, or due to third-party providers (AWS, Stripe, Meta, Cal.com, LLM providers). These interruptions do not give rise to any compensation.

9. Limitation of liability

As a contract between professionals, and in accordance with Article 1231-3 of the French Civil Code, Zenask’s liability is expressly limited to direct and foreseeable damages, capped at the amounts actually paid by you to Zenask during the 12 months preceding the event giving rise to the damage.

Zenask shall under no circumstances be held liable for:

  • Indirect losses (loss of revenue, customers, data, opportunity);
  • The consequences of a service interruption due to a third-party provider (Meta, AWS, Stripe, LLM);
  • The quality of responses generated by the artificial intelligence, which falls solely under the editorial responsibility of the user;
  • The suspension or removal of your Instagram account by Meta resulting from a breach of Meta’s Platform Terms on your part.

10. Intellectual property

Zenask (software, brand, interface, documentation) remains the exclusive property of Pierre Lissope. The subscription grants you a personal, non-exclusive, non-transferable usage right limited to the duration of the subscription.

The content you create and inject into Zenask (agent configuration, products, texts, images) remains your property. You grant Zenask a non-exclusive license to use this content for the sole purpose of operating the service.

11. Personal data

The processing of your personal data (as a Zenask customer) and of the data of people who interact with your agent is described in our privacy policy.

As a user, you act as the data controller for the data of your own prospects / customers. Zenask acts as a data processor within the meaning of Article 28 GDPR. A Data Processing Agreement (DPA) can be provided upon simple request at admin@zenask.ai.

12. Force majeure

Neither party shall be held liable for a breach of its obligations resulting from a force majeure event within the meaning of Article 1218 of the French Civil Code (widespread Internet outage, major cyberattack, administrative decision, natural disaster, etc.).

13. Changes to the ToS

Zenask may modify these ToS at any time. Any material change will be notified to you by email with 15 days’ notice before it takes effect. If you do not accept the new version, you may terminate your subscription free of charge before the new terms apply.

14. Governing law and jurisdiction

These ToS are governed by French law. In case of a dispute between professionals, and failing amicable resolution within 30 days from notification by registered letter, exclusive jurisdiction is granted to the Commercial Court of Évry, France.
